11 SEVERANCE

11.1  If any portion of these Terms and Conditions, Copyright and/or Privacy Policy should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions, Copyright and/or Privacy Policy shall survive and remain in full force and effect and continue to be binding and enforceable


12 GOVERNING LAW

12.1  The Terms and Conditions, Privacy Policy and Copyright shall all be governed by and construed in accordance with the the laws of the State of Florida, U.S.A., without regard to choice of law provisions. You agree that any legal action or proceedings between SeminoleHerald.com, its Parent Company, officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Website or Services and you for any purpose concerning the Terms and Conditions, Privacy Policy or Copyright or the parties' obligations hereunder shall be brought EXCLUSIVELY within the jurisdiction over and venue in the state or federal courts located in Seminole County, Florida. Any cause of action or claim you have with respect to the Website or Services must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. SeminoleHerald.com or its Parent Company's failure to enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. SeminoleHerald.com and its Parent Company, at its sole discretion, may assign its rights and duties under this Agreement to any party at anytime without notice to you.

12.2  By using our Website or Services, you agree that SeminoleHerald.com and its Parent Company, at its sole discretion, may require you to submit any disputes arising from but not limited to, the use of the Website or Services or the Agreement, including disputes concerning their interpretation or termination, or to any newly arisen circumstances, to final and binding arbitration under the International Rules of Arbitration of the American Arbitration Association, by one or more arbitrators appointed in accordance with said Rules. Such proceedings shall be governed by the laws of the State of Florida and within the jurisdiction of Seminole County, Florida. Any award in arbitration shall be limited to monetary damages and shall include NO injunction or direction to any party other than to pay a monetary amount. The arbitrator(s) shall have no authority to award punitive or any other damages not weighed by the prevailing party's actual damages, except as required by statute.
